1. INTRODUCTION AND ACCEPTANCE

Welcome to Groundvoy. These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “You,” “Customer,” “Rider,” “Driver,” or “Operator”) and Groundvoy, Inc. (“Groundvoy,” “We,” “Us,” or “Our”), a Wyoming corporation, governing your access to and use of the Groundvoy platform, including our mobile applications (iOS and Android), websites, and related services (collectively, the “Platform” or “Services”).

By creating an account, accessing the Platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Community Guidelines, and any additional terms applicable to specific services. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days prior to taking effect. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. DEFINITIONS

For purposes of this Agreement:

  1. “Platform” means the Groundvoy technology platform, including mobile applications, websites, APIs, and backend services.
  2. “Services” means the premium chauffeur transportation services facilitated through the Platform.
  3. “Rider” or “Customer” means any individual or entity booking transportation services through the Platform.
  4. “Driver” means any independent chauffeur providing transportation services through the Platform.
  5. “Operator” means any fleet operator, franchise partner, or white-label service provider using the Platform.
  6. “Corporate Account” means business accounts established for employee transportation services.
  7. “Partner” means hotels, travel agencies, event organizers, or concierge services integrated with the Platform.
  8. “Content” means any data, text, images, or other materials uploaded, transmitted, or displayed through the Platform.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age and Capacity Requirements

To use the Platform, you must be at least 18 years of age and possess the legal capacity to enter into binding contracts. By creating an account, you represent and warrant that you meet these requirements. Minors may only use the Services under the supervision and with the consent of a parent or legal guardian who accepts these Terms on their behalf.

3.2 Account Registration

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

3.3 Account Types

The Platform supports the following account types:

  • Individual Rider Accounts
  • Driver Accounts (subject to additional Driver Terms)
  • Corporate Accounts (subject to separate Business Terms)
  • Operator/Fleet Accounts (subject to Operator Agreement)
  • Travel Agency Accounts (subject to Partner Agreement)
  • Partner Accounts (Hotels, Events, Concierge)

4. PLATFORM SERVICES AND LIMITATIONS

4.1 Technology Platform

Groundvoy operates as a technology platform that connects Riders with independent Drivers. Groundvoy does not provide transportation services itself and is not a transportation carrier. Transportation services are provided by independent third-party Drivers who are not employed by Groundvoy. Groundvoy does not direct or control Drivers in the performance of transportation services.

4.2 Service Availability

We strive to provide continuous access to the Platform, but we do not guarantee uninterrupted availability. The Platform may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

4.3 Geographic Limitations

Services are available only in designated geographic areas. Availability varies by location and is subject to change. We do not guarantee service availability in any particular area or at any particular time.

5. BOOKING, RIDES, AND CANCELLATIONS

5.1 Ride Requests

When you request a ride through the Platform, you are making an offer to contract with an independent Driver for transportation services. A binding agreement is formed when a Driver accepts your request. Groundvoy facilitates this connection but is not a party to the transportation contract between Rider and Driver.

5.2 Scheduled Rides

For “Book Later” scheduled rides, we will attempt to match you with a Driver in advance. However, we cannot guarantee Driver availability at the scheduled time. If no Driver is available, we will notify you as soon as possible and provide alternative options or a full refund.

5.3 Cancellation Policy

Cancellation fees apply as follows:

  • Cancellations made more than 60 minutes before scheduled pickup: No fee
  • Cancellations made 15-60 minutes before pickup: 25% of estimated fare
  • Cancellations made less than 15 minutes before pickup: 50% of estimated fare
  • No-shows (failure to appear within 15 minutes of scheduled pickup): 100% of estimated fare

Driver-initiated cancellations are not subject to fees, and you will receive a full refund. In cases of force majeure, extreme weather, or safety concerns, standard cancellation fees may be waived at our discretion.

5.4 Rider Conduct

As a Rider, you agree to:

  • Treat Drivers with respect and courtesy
  • Be ready at the designated pickup location at the scheduled time
  • Not damage or soil the vehicle
  • Comply with all applicable laws and regulations
  • Not engage in unlawful, threatening, harassing, or inappropriate behavior
  • Not consume illegal substances or engage in illegal activities in the vehicle

6. PRICING, PAYMENTS, AND FEES

6.1 Fare Calculation

Fares are calculated based on a combination of factors including distance, time, vehicle type, demand, traffic conditions, tolls, airport fees, and any applicable surcharges. The estimated fare displayed at booking is an approximation and may differ from the final fare due to route changes, traffic, wait time, or other factors.

6.2 Dynamic Pricing

During periods of high demand or limited Driver availability, dynamic pricing (surge pricing) may apply. The increased fare will be clearly displayed before you confirm your booking. By proceeding with the booking, you accept the displayed fare.

6.3 Payment Methods

We accept the following payment methods:

  • Credit and debit cards (Visa, Mastercard, American Express, Discover)
  • Apple Pay and Google Pay
  • PayPal
  • Corporate billing accounts
  • Ride credits and promotional codes
  • Subscription packages

By providing a payment method, you authorize Groundvoy to charge all applicable fees, including service fees, platform fees, and any additional charges. You are responsible for maintaining valid payment information in your account.

6.4 Additional Charges

Additional charges may apply for:

  • Wait time beyond the included grace period (typically 15 minutes)
  • Tolls, parking fees, and airport surcharges
  • Cleaning fees for vehicle damage or excessive soiling
  • Lost item recovery fees
  • Premium add-ons (champagne, flowers, Wi-Fi, etc.)

6.5 Service Fees

Groundvoy charges a service fee for facilitating connections between Riders and Drivers. This fee is included in the total fare displayed at booking. Service fees may vary by location, service type, and other factors.

6.6 Refunds and Disputes

Fare disputes must be submitted within 30 days of the ride via the in-app support system or customer service. We will review all disputes in good faith and issue refunds or adjustments as appropriate. Refunds, if approved, will be processed to the original payment method within 5-10 business days.

7. DRIVER TERMS AND OBLIGATIONS

7.1 Independent Contractor Status

Drivers are independent contractors, not employees, agents, or representatives of Groundvoy. Drivers have complete discretion over when, where, and whether to provide services. Drivers are responsible for their own taxes, insurance, vehicle maintenance, fuel, and all other costs associated with providing transportation services.

7.2 Driver Requirements

To qualify as a Driver, you must:

  • Be at least 23 years of age
  • Possess a valid driver’s license for at least 3 years
  • Pass a comprehensive background check
  • Maintain commercial auto insurance meeting minimum coverage requirements
  • Operate a vehicle that meets our luxury vehicle standards
  • Complete professional chauffeur training (provided through our LMS)
  • Comply with all applicable laws, regulations, and licensing requirements

7.3 Driver Conduct Standards

Drivers must:

  • Provide professional, courteous service at all times
  • Maintain vehicles in excellent condition (clean, well-maintained, odor-free)
  • Dress professionally (suit, tie, or approved uniform)
  • Arrive on time for scheduled pickups
  • Respect passenger privacy and confidentiality
  • Not discriminate based on race, religion, gender, sexual orientation, disability, or any protected class
  • Comply with all safety regulations and traffic laws

7.4 Driver Compensation

Drivers receive a percentage of each fare after Groundvoy’s service fee is deducted. The exact percentage varies by market, service type, and Driver tier. Drivers may also receive tips, which are paid in full to the Driver. Earnings are processed weekly via direct deposit or other agreed payment methods.

7.5 Driver Deactivation

We reserve the right to deactivate Driver accounts at any time for violations of these Terms, safety concerns, poor performance ratings, fraudulent activity, or any other reason at our sole discretion. Drivers may appeal deactivations through our dispute resolution process.

8. CORPORATE AND BUSINESS ACCOUNTS

8.1 Corporate Account Setup

Corporate accounts enable businesses to provide transportation services for employees, clients, or guests. Corporate accounts are subject to these Terms and may have additional Business Terms and Service Agreements. The authorized corporate administrator is responsible for managing user access, setting policies, and ensuring payment.

8.2 Corporate Billing

Corporate accounts may be billed monthly or according to agreed payment terms. Invoices are due within 30 days unless otherwise specified. Late payments may incur interest charges and may result in service suspension. Corporate accounts are responsible for all rides booked under their account, including unauthorized use by employees.

8.3 Approval Workflows

Corporate administrators may configure approval workflows requiring manager authorization before rides are booked. Groundvoy is not responsible for enforcing internal corporate policies beyond the technical controls provided in the Platform.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Groundvoy Property

The Platform, including all software, designs, text, graphics, logos, icons, images, audio clips, data compilations, and the selection and arrangement thereof, is the exclusive property of Groundvoy and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. “Groundvoy” and all related marks are trademarks of Groundvoy, Inc.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Platform without our prior written consent.

9.3 User Content

You retain ownership of any content you submit through the Platform (reviews, photos, profile information). However, by submitting content, you grant Groundvoy a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating and promoting the Platform.

10. PRIVACY AND DATA PROTECTION

10.1 Data Collection and Use

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10.2 Location Data

The Platform collects precise location data to facilitate ride matching, navigation, safety features, and service improvements. You can control location permissions through your device settings, but disabling location services may limit Platform functionality.

10.3 GDPR and CCPA Compliance

For users in the European Union, we comply with the General Data Protection Regulation (GDPR). For California residents, we comply with the California Consumer Privacy Act (CCPA). You have rights regarding your personal data, including access, correction, deletion, and data portability. To exercise these rights, contact privacy@groundvoy.com.

10.4 Data Retention

We retain personal data for as long as necessary to provide Services, comply with legal obligations, resolve disputes, and enforce our agreements. Ride history, payment records, and safety-related data may be retained for extended periods as required by law.

11. SAFETY, SECURITY, AND EMERGENCIES

11.1 SOS and Emergency Features

The Platform includes an SOS button that connects you to emergency services and notifies our safety team. In an emergency, always call local emergency services (911 in the US) first. The SOS feature is supplementary and does not replace emergency services.

11.2 Background Checks

All Drivers undergo comprehensive background checks including criminal history, driving records, and employment verification. However, we cannot guarantee the safety or reliability of any Driver, and you use the Services at your own risk.

11.3 Insurance Coverage

Drivers are required to maintain commercial auto insurance meeting minimum coverage requirements. During active rides, additional insurance coverage may be provided through Groundvoy’s commercial policy. Coverage details vary by jurisdiction and are subject to policy terms and conditions.

11.4 Incident Reporting

Any accidents, injuries, safety concerns, or inappropriate conduct must be reported immediately through the Platform or by contacting safety@groundvoy.com. We investigate all reports and take appropriate action, which may include account suspension, deactivation, or involvement of law enforcement.

12. PROHIBITED USES AND CONDUCT

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Platform for any illegal purpose, including transportation of contraband
  • Harass, threaten, stalk, or harm other users
  • Engage in fraudulent activity, including payment fraud or account manipulation
  • Create multiple accounts or use false identities
  • Reverse engineer, decompile, or attempt to extract source code from the Platform
  • Use automated systems (bots, scrapers) to access the Platform
  • Interfere with or disrupt the Platform’s operation or security
  • Transmit viruses, malware, or other harmful code
  • Collect or harvest user information without consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Platform for commercial purposes outside of authorized business accounts

13. DISCLAIMERS AND WARRANTIES

13.1 “AS IS” Service

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR AVAILABILITY. GROUNDVOY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13.2 Third-Party Services

GROUNDVOY IS NOT RESPONSIBLE FOR THE CONDUCT, QUALITY, OR SAFETY OF THIRD-PARTY DRIVERS OR THEIR VEHICLES. TRANSPORTATION SERVICES ARE PROVIDED BY INDEPENDENT CONTRACTORS, AND GROUNDVOY MAKES NO WARRANTIES REGARDING THEIR PERFORMANCE, SAFETY, OR RELIABILITY.

13.3 No Guarantee of Availability

WE DO NOT GUARANTEE THAT DRIVERS WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION. RIDE AVAILABILITY DEPENDS ON INDEPENDENT DRIVER ACCEPTANCE AND CANNOT BE ASSURED.

14. LIMITATION OF LIABILITY

14.1 Damages Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUNDVOY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

14.2 Maximum Liability Cap

IN NO EVENT SHALL GROUNDVOY’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) $500 USD OR (B) THE AMOUNT YOU PAID TO GROUNDVOY IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14.3 State Law Variations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Groundvoy, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Platform; (c) your violation of any rights of another party; (d) your conduct in connection with the Services; or (e) any content you submit or transmit through the Platform.

16. DISPUTE RESOLUTION AND ARBITRATION

16.1 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at legal@groundvoy.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes within 60 days.

16.2 Binding Arbitration

If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in Wyoming, USA, unless otherwise agreed.

16.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GROUNDVOY.

16.4 Exceptions

Notwithstanding the arbitration provisions, either party may seek equitable relief in court to protect intellectual property rights or to enforce the confidentiality provisions of these Terms. Additionally, you may bring claims in small claims court if they qualify.

17. TERMINATION AND SUSPENSION

17.1 Termination by You

You may terminate your account at any time by contacting customer support or using the account deletion feature in the Platform. Termination does not relieve you of any obligations accrued prior to termination, including outstanding payment obligations.

17.2 Termination by Groundvoy

We may suspend or terminate your account immediately, without prior notice, for any reason including: (a) violation of these Terms; (b) fraudulent activity; (c) safety concerns; (d) abusive behavior; (e) prolonged inactivity; or (f) any conduct we deem harmful to the Platform, our users, or our business interests.

17.3 Effect of Termination

Upon termination, your right to use the Platform immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

18. GENERAL PROVISIONS

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms (excluding arbitration) shall be brought exclusively in the federal or state courts located in Wyoming.

18.2 Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms, constitute the entire agreement between you and Groundvoy regarding the Platform and supersede all prior agreements, understandings, and communications, whether oral or written.

18.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18.4 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

18.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or any rights hereunder without restriction, including to any affiliate or successor in interest.

18.6 Force Majeure

Groundvoy shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, natural disasters, labor disputes, government actions, or internet service disruptions.

18.7 Third-Party Beneficiaries

These Terms are for the benefit of Groundvoy and you, and are not intended to confer third-party beneficiary rights upon any other person or entity, except as expressly provided herein.

18.8 Notices

20. ACKNOWLEDGMENT

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE PLATFORM.
